Reliability, A Major Contributor to Outsourcing Partnerships

Outsourcing companies, both local and foreign based have been proactive when it comes to taking on the global business sector as they look for potential clients. Over the years, we have already witnessed how companies belonging in the outsourcing sector of different sizes have sealed contracts and agreements with their respective clients and how they have nurtured these agreements.

Just recently, there was an announcement by outsourcing solutions provider CSC (NYSE:CSC) that it has extended its contract with Safety Insurance Group, a company based in Boston that deals with property and casualty insurance. The work processes at hand would include Information Technology solutions, such as the provision of application and infrastructure services by CSC. The partnership between CSC and Safety Insurance Group started in 1997 and the latter claims that the IT solutions provided by the former have actually helped them drive Safety Insurance Group?s homeowner business.

Another company that made an announcement of a contract extension?this May?was Firstsource Solutions (NSE:FSL), a company based in India but have global operations facilities across the different continents. The solutions provider that specialize in business process outsourcing has released a statement that Sky, an entertainment and communications company in the United Kingdom, has chosen to extend its contract with the outsourcing company. The customer service management is the solution that Sky has opted to outsource to Firstsource Solutions. Just like the partnership between CSC and Safety Insurance Group, this outsourcing partnership has been present for so many years, roughly around 10 years. The said contract renewal will cause Firstsource to expand its United Kingdom operations into two more cities in Belfast and Cardiff.

It is indeed fascinating to see outsourcing partnership to last for many years and this could be a testament to the idea that outsourcing is helpful in strengthening one?s business. There may be instances wherein companies have been unsuccessful in their decisions to outsource, but upon seeing partnerships like those mentioned above, one can probably arrive at a conclusion that companies who were unsuccessful in the past probably missed a thing or two in their deliberation whether they are ready or not. There are many things to consider before outsourcing and we have already mentioned these in a couple of articles that we have published before.

Nurturing of outsourcing partnerships may seem simple at first but one must recognize that in order to be successful, there are a number of things that should be considered. There are different partnerships that would make you become more interested because of the duration of the contract. One of the great factors in keeping a strong outsourcing collaboration would be the reliability of the solutions provider. Reliability could probably be one of the top outsourcing criteria that should be considered by businesses as this will definitely help them strengthen their presence in their respective industries.
The outsourcing industry is definitely miles away from becoming an extinct model because of the benefits and advantages that one can actually reap from seeking a partnership with an outsourcing solutions provider. To add to the benefits, the solutions providers are actually working on their reliability so as to keep their clients satisfied.

Obama's health insurance aid to small businesses disappoints ...

WASHINGTON ? It seemed like a good idea at the time.

But a health insurance tax credit for small businesses, part of President Barack Obama?s health care law that gets strong support in public opinion polls, has turned out to be a disappointment.

Time-consuming to apply for and lacking enough financial reward to make it attractive, the credit was claimed by only 170,300 businesses out of a pool of as many as 4 million potentially eligible companies in 2010.

That?s put the Obama administration in the awkward position of asking Congress to help fix the problems by allowing more businesses to qualify and making it simpler to apply.

But Republicans who run the House say they want to repeal what they call ?Obamacare,? not change it.

?They completely missed the target on this thing,? Rep. Sam Graves, R-Mo., said of the tax credit. ?I don?t think expanding it is going to make any difference whatsoever.? Graves chairs the House Small Business Committee.

It doesn?t help the administration?s plea that the biggest small-business lobbying group is a lead plaintiff asking the Supreme Court to overturn the Affordable Care Act. The National Federation of Independent Business isn?t likely to spend much time tinkering with the tax credit or promoting it to members.

Small businesses represent the crumbling edge of the nation?s system of employer-based health care. Only about 30 percent of companies with fewer than 10 workers offer health coverage, and they often pay more for insurance than large businesses. The credit, which once had support in principle from lawmakers of both parties, was supposed to help businesses already providing coverage afford the premiums. And maybe it would even entice some to start.

?We agree it is not a panacea for all costs,? said John Arensmeyer, founder of Small Business Majority, an advocacy group that supports the health care law and disagrees with the much larger independent business federation. The problem is all the negative publicity around the health care law has discouraged business owners from applying for the credit, he says.

?There has been more heat than light shone on this,? Arensmeyer said. ?There is no reason why small businesses shouldn?t be taking advantage of this credit.? About 770,000 workers were covered by the businesses claiming the credit in 2010.

However, a recent report by Congress? nonpartisan Government Accountability Office identified several issues with the credit itself.

To begin with, the GAO said, the tax credit is structured so its biggest benefits go to very small companies paying low wages. About 4 out of 5 such businesses don?t offer coverage, and the tax credit is not sufficient to encourage them to start doing so.

?Small employers do not likely view the credit as a big enough incentive to begin offering health insurance,? the report said.

The average credit claimed in 2010 was about $2,700, although some companies qualified for much more.

Many small firms did not qualify because they paid fairly decent wages. The GAO report quoted an unidentified tax preparer who explained that ?people get excited that they?re eligible and then they do the calculations and it?s like the bottom just falls out of it and it?s not really there.? It?s almost a bait and switch.

Complexity has been another obstacle. IRS Form 8941, which employers must complete to claim the credit, has 25 lines and seven worksheets, the GAO said. Some tax preparers told the agency it took clients from two to eight hours to pull together supporting information and tax professionals another three to five hours to calculate the credit.

Trying to help, the IRS identified ?three simple steps? employers needed to follow, but the GAO found ?the three steps become 15 calculations, 11 of which are based on seven worksheets, some of which request multiple columns of information.?

Arensmeyer said claiming the credit will be simpler once it becomes standard in tax-preparation software.

As it stands now, the credit is only temporary, expiring in 2016. That?s another reason Congress appears unlikely to adopt the administration?s proposed fixes, which would cost an estimated $14 billion that has to be offset with cuts elsewhere.

If the health care law withstands Supreme Court scrutiny, more employers could start claiming the credit. Otherwise, it may just go down as a missed opportunity, for policymakers and small-business owners alike.

Home Staging? What is it? Is it needed? - Agustinthomas11's blog

Many a people have a hard time understanding the concept of home staging. ?What is Home Staging anyhow?, you may ask?

According to Barb Schwarz, ?Home Staging is the act of preparing a home for sale so the buyer can mentally move in.? I could not come up with a better definition of what Home Staging is!

Another question that I hear all the time is: ?Do all houses need to be Staged?

All houses need to be staged prior to sale, if you want to sell for top dollar and be in the market for a short time. Secondly 90% of the population can not visualize or imagine spaces. That means 90% of buyers can not visualize spaces or imagine themselves in the house you wish they buy from you.

Home Staging is equivalent to car detailing (the male reader can totally identify with this); you never try to sell your car, whether it is a Kia or a Ferrari, without detailing it first. If we are willing and open to spending money on something that is a liability, (our vehicle), why are we so closed to the idea of investing on maximizing the return on something for most of us is our most valuable asset (our house)?

?But my Seller has great taste and therefore Staging is not necessary?, is something else I hear quite often.

Staging has nothing to do with a Seller's taste and a lot to do with the buyer?s wants. So the Seller and the Real Estate Agent/Realtor would need to answer the question- who the buyers are and what they want and look for in the specific area or neighborhood- and package and merchandise the house (i.e. Stage the home), accordingly.

I went to an open house a few days ago in THE most desirable and affluent neighborhood in my city. The architecture of the house is very traditional-Mediterranean as a matter of fact- and the interior decorating and furnishings are very modern which makes the house very eclectic. First thing you notice as you walk thru the main entrance, are the beautiful expensive art work and furnishings. What happened to highlighting Real Estate (almost 7, 000 sq. feet of Real Estate?). And that is what Staging would do-highlight Real Estate. After all that is what the buyer wants to buy, the house and not a Seller?s possessions. This house has been on the market twice in the last two years and did not sell, and now it has been on the market a third time for over 60 days and they have yet to have an offer. Never mind the price reductions of the 7 figure type?

The architecture of the house is beautiful (traditional Mediterranean), the interior design and art work are beautiful (ultra modern, minimalistic). Spaces ?speak? to us and this property speaks ?single bachelor who has a very incredible eclectic taste?. There is nothing wrong with ultra modern, minimalistic design. Personally I love it, as a mater of fact?but I highly doubt that house appeals to the young family who wants to make it a home so they are able to raise their children in the most desirable, affluent neighborhood in the city.

So yes, Staging is needed, if you want to sell quick and for top dollar!

As a seller you can not afford to not Stage because your online photos will stand out (which means more showings/traffic-therefore more offers), your house will sell faster, you will make more money therefore you will get your Return on your Staging investment back-at least a 200% return and up to 576% of it. And did you know Home Staging cost may be deductable in the State of Texas?

(AP) ? A Polish opera house has performed Mozart's Requiem ? a funeral piece ? in front of the Culture Ministry in Warsaw to protest cuts to its budget.

The Chamber Opera's orchestra, choir and soloists performed Tuesday to the hearty applause of hundreds of people. A large banner saying, "Minister, Only You Can Save the Chamber Opera," hung above the artists.

They handed a ministry official a letter signed by some 20,000 people asking Culture Minister Bogdan Zdrojewski to secure funds for the opera. Otherwise, they say, it will have to close in the summer.

There was no immediate reply from the ministry, which is instituting cuts as a broader government cost-reduction effort.

The 50-year-old Warsaw-based opera is known for its annual festivals of all of Mozart's opera compositions.

Microsoft: Yes, We Do Send Takedown Requests To Bing, Too

bing-b-logoMicrosoft says it does send copyright-related takedown requests to its own search engine, Bing, in addition to the multitude of requests that it sends to Google.

This comes on the heels of yesterday?s news that Microsoft is the number one submitter of copyright-related URL removal requests to Google. It sent more than 500,000 such requests in the past month, asking Google to remove URLs that host pirated copies of Microsoft products and other copyright-infringing material.

TechDirt pointed out that some of the URLs that Microsoft asked Google to remove were still appearing in Bing?s search results.

A Microsoft spokesperson explained that to us today, saying that it?s because the infringing URLs hadn?t been indexed in Bing when the takedown notices were sent:

Microsoft sends takedown notices to search engines, including Bing, only after it verifies that content has been indexed. At the time of the takedown notice in question, the link to the particular piece of infringing content was not included in Bing?s search results.

The TorrentRoom.com URL that TechDirt showed as listed in Bing yesterday is no longer showing in Bing?s index.

In this case, then, it appears that Google?s speed in indexing URLs ? which it often does more quickly than Bing ? is the main reason why Google had received the takedown request in question before Bing did.

But I have to add ? Bing isn?t going to make many friends with related searches like the one above that helps searchers find a site to download Spartacus.

If there was any doubt Andrew Luck would be the starting quarterback for the Colts in 2012, there shouldn?t be.

Even though he has missed Organized Team Activities due to the graduation schedule at Stanford, Luck will be installed as the No. 1 quarterback when he finally arrives for offseason workouts.? ?Ain?t no doubt,? offensive coordinator Bruce Arians said, via Mike Chappel of the Indianapolis Star.

Ed McLaughlin remembered for cycling, community devotion

CHICO ? Few formal programs have been as successful at creating decision-makers for Chico as Ed McLaughlin, who died Thursday morning.

McLaughlin was widely known as "the bike guy," executive director of Chico Velo bike organization, and cycling advocate until he was involved in a cycling accident that left him paralyzed.

As friends and acquaintances talked about McLaughlin on Thursday, his ability to advocate for cycling, advocate for Chico and convince individuals they could do the most good in elected office surfaced strongly.

At least four current and former city officials said they sought office because of encouragement from McLaughlin.

"He's responsible for me being mayor," said Ann Schwab on Thursday morning.

An avid cyclist and co-owner of a downtown Chico bike shop, Schwab was a good friend of McLaughlin's, saying he had encouraged her to run for City Council.

Schwab said she saw McLaughlin on Tuesday, visiting him in the hospital after he fell out of bed last week. She did not know the cause of his death.

A family email forwarded to the Enterprise-Record said he had come home from the hospital on Wednesday and died early Thursday morning. He was having breathing difficulties.

"These last six months he was the most active he had been since the accident. He was getting around town, and becoming very active with emails," Schwab said.

A freak accident in 2007 left McLaughlin paralyzed. He was riding with a group of other cyclists

through Bidwell Park and smashed into a bollard that was obscured by the group, which pressed together to avoid a pedestrian.

The fork of his cycle broke and he fell to the front, injuring his spine.

He spent months in a Bay Area hospital renowned for its back care before returning to Chico. In a wheelchair, he continued his advocacy for cycling, including serving as chair of the city's Bicycle Advisory Committee, which started in the mid-90s.

"He was the only chair," said Schwab. "He always said the best way to make change is to advocate."

Bike shop owner Steve O'Bryan of Pullins Cyclery said his civic involvement, first in the Bidwell Park and Playground Commission, was prompted by McLaughlin. He also served on the Chico Planning Commission, the Chico Unified School District board and is vice chair of the Bicycle Advisory Committee, which meets as needed.

O'Bryan remembers a post-election conversation about how many chamber-supported candidates won office, when a high Chico official commented on the more wide-spread success of Chico Velo-supported candidates.

"What Ed did was low key, steady and gradually influencing the powers that be, while seeking the funding that got projects done," O'Bryan said, noting McLaughlin refused to ask for city funding when other organizations did.

O'Bryan said most of the bike facilities around town bear McLaughlin's mark.

"Every time you take a bike ride, push a button at a stop or be on a separated bike path, or one with a stripe on the ground, the Mangrove Avenue bike tunnel ... know that Ed was heavily involved in that.

"He was the keystone."

McLaughlin was an ambassador for Chico as well, especially among the national cycling arena. He was involved in calling Bicycle magazine's attention to Chico, which in 1998 named it the best cycling community in the U.S. Other cycling organizations and publications also acknowledged Chico because of McLaughlin's efforts.

"It was Ed who first got me involved in governance," said Chico State University engineering professor Russ Mills, "first with the Bidwell Park and Playground Commission and then with the Chico State academic senate."

Mills knew McLaughlin for 25 years.

"He wasn't just an advocate for bicyclists, he was an advocate for life. Even after his tragic injury, Ed was still enthusiastic and connected."

After the accident, friends of McLaughlin created the Tour de Ed bike ride as a fundraiser for helping him with care costs, but it was broadened to help any injured cyclist through the nonprofit Chico Cyclists Care Fund created after the first ride.

Friends also remember his wry sense of humor, borne out in costumes he would wear to the Tour de Ed bike event, including an ape, pope and cowboy outfits.

"I don't know what the significance of those costumes were," said Schwab, "but that was Ed."

From New Jersey, he also had a "New Jersey kind of attitude," O'Bryan said.

Before the accident, McLaughlin had been the executive director of Chico Velo cycling advocacy organization, weighing in on community plans and developments with an eye to the cycling community. He often volunteered for community planning processes, speaking for the cycling community.

He operated a bicycle delivery service and boasted that he didn't own a car.

"He had vision to see things," said O'Bryan, who said he met McLaughlin soon after he moved to Chico from Eureka. He worked at the Social Security office and would come into Chico Bicycle, where O'Bryan worked.

"He was overweight and smoked. Someone told him he'd better change his lifestyle so he got into bicycling."

McLaughlin was involved in expanding the Wildflower Century bike ride, O'Bryan said, which was also noted as one of the country's best 100-mile rides. This year, the ride, which occurred in April, had to be limited to 4,000 riders, who came from throughout the country.

In 2004, the League of American Bicyclists named Chico one of six bicycle-friendly communities, and McLaughlin was working on increasing Chico's status with that organization.

He was also an ardent letter writer to the Enterprise-Record, pointing out community issues on cycling, access and other matters that he felt needed to be addressed.

"What I appreciated most was his outlook on life, and his phrases, like he'd say you should examine your career, or what you were doing on a daily basis, then ask 'Are you in a rut or in a groove'," Schwab said.

"Hopefully he's on a good bike ride right now," said O'Bryan.

"Don't be sad for Ed; be sad for us."

South Whidbey Relay For Life raises record amount for cancer research

LANGLEY ? Hundreds of pairs of sneakers added a few extra miles to their soles this weekend as South Enders walked for the cure during this year?s Relay For Life.

The weather held up for the 20 teams that walked for 18 hours between 5 p.m. Friday and 11 a.m. Saturday at the South Whidbey High School track to raise money for the American Cancer Society.

Bristol Bloom and her 16-month-old son Branson were among the last ones standing, circling the track Saturday morning.

?Branson and I did six miles and stayed out all night,? she said. ?Oh my gosh, it was awesome.?

Bloom took the early morning shift for her team. She started walking at dawn.

?I like that shift. It?s when the sun comes out,? she said. ?It was inspiring.?

She also enjoyed the ?quietness.?

?It was only the real die-hards out there,? Bloom said.

?It was tiring, but pretty cool,? she added. ?And of course the free coffee helped.?

Relay For Life kicked off Friday evening with a cancer survivors? dinner that included clam chowder from Ivar?s and chicken chili from another local eatery.

From moms pushing baby strollers, to seniors, to gaggles of high schoolers, dozens of members from fundraising teams made their way around the track at South Whidbey High School under a warm evening sun, distracted only by occasional screams from the dunk tank at one end of the football field.

Many came prepared for a long night, toting sleeping bags or coolers filled with food.

Dance music boomed from the sound system set up near one end of the bleachers, interrupted only by the occasional plea for donations to help free the distinguished ?jailbirds? who were locked inside a chain-link-fenced prison for the event?s ?jail and bail? program. Prisoners included South Whidbey School District Superintendent Fred McCarthy, Dick Guise from the Kiwanis and sheriff?s deputy Laura Price.

The highlight of the night was the Luminary Ceremony. Luminaries lined the outer edge of the football field, many lovingly labeled with the name of a family member or friend who was afflicted with cancer.

The special event to honor those lost started at 10 p.m. Friday. Anyone who wanted to remember somebody who had succumbed to cancer or had successfully fought the disease could put up a white paper bag that they had decorated and lit a candle. And there were many.

In no time the track was illuminated in candlelight as the walkers continued to make their laps.

?We had more than 250 candles for the ceremony and they were all gone,? said Maria Reyes, one of the walkers. Organizers estimated that a total of about 300 walked during the luminary.

The event raised a record amount of cash, said Relay spokesman Peter Andersen. Donations amounted to $39,300 and counting,

And other milestones were reached as well.

Cancer survivor Joan Smith walked more than 150 laps, Andersen said.

?That?s inspiring,? he added. Smith, who also was this year?s survivor speaker, is a three-time cancer survivor.

Even though she walked more laps than most, this year wasn?t her personal best.

?Three years ago she ran the entire relay,? Andersen recalled.

This year marked the 12th anniversary for Relay For Life on South Whidbey. Participation was significantly increased, organizers said, a trend that?s reflected elsewhere in the country.

Nationwide, more than 2.5 million people participate in the Relay For Life each year.

Next year?s Relay is scheduled for June 19 and 20.

Typical CEO made $9.6M last year, AP study finds

NEW YORK (AP) ? Profits at big U.S. companies broke records last year, and so did pay for CEOs.

The head of a typical public company made $9.6 million in 2011, according to an analysis by The Associated Press using data from Equilar, an executive pay research firm.

That was up more than 6 percent from the previous year, and is the second year in a row of increases. The figure is also the highest since the AP began tracking executive compensation in 2006.

Companies trimmed cash bonuses but handed out more in stock awards. For shareholder activists who have long decried CEO pay as exorbitant, that was a victory of sorts.

That's because the stock awards are being tied more often to company performance. In those instances, CEOs can't cash in the shares right away: They have to meet goals first, like boosting profit to a certain level.

The idea is to motivate CEOs to make sure a company does well and to tie their fortunes to the company's for the long term. For too long, activists say, CEOs have been richly rewarded no matter how a company has fared ? "pay for pulse," as some critics call it.

To be sure, the companies' motives are pragmatic. The corporate world is under a brighter, more uncomfortable spotlight than it was a few years ago, before the financial crisis struck in the fall of 2008.

Last year, a law gave shareholders the right to vote on whether they approve of the CEO's pay. The vote is nonbinding, but companies are keen to avoid an embarrassing "no."

"I think the boards were more easily shamed than we thought they were," says Stephen Davis, a shareholder expert at Yale University, referring to boards of directors, which set executive pay.

In the past year, he says, "Shareholders found their voice."

The typical CEO got stock awards worth $3.6 million in 2011, up 11 percent from the year before. Cash bonuses fell about 7 percent, to $2 million.

The value of stock options, as determined by the company, climbed 6 percent to a median $1.7 million. Options usually give the CEO the right to buy shares in the future at the price they're trading at when the options are granted, so they're worth something only if the shares go up.

Profit at companies in the Standard & Poor's 500 stock index rose 16 percent last year, remarkable in an economy that grew more slowly than expected.

CEOs managed to sell more, and squeeze more profit from each sale, despite problems ranging from a downgrade of the U.S. credit rating to an economic slowdown in China and Europe's neverending debt crisis.

Still, there wasn't much immediate benefit for the shareholders. The S&P 500 ended the year unchanged from where it started. Including dividends, the index returned a slender 2 percent.

Shareholder activists, while glad that companies are moving a bigger portion of CEO pay into stock awards, caution that the rearranging isn't a cure-all.

For one thing, companies don't have to tie stock awards to performance. Instead, they can make the awards automatically payable on a certain date ? meaning all the CEO has to do is stick around.

Other companies do tie stock awards to performance but set easy goals. Sometimes, "they set the bar so low, it would be difficult for an executive not to trip over it," says Patrick McGurn, special counsel at Institutional Shareholder Services, which advises pension funds and other big investors on how to vote.

And for many shareholders, their main concern ? that pay is just too much, no matter what the form ? has yet to be addressed.

"It's just that total (compensation) is going up, and that's where the problem lies," says Charles Elson, director of the Weinberg Center for Corporate Governance at the University of Delaware.

The typical American worker would have to labor for 244 years to make what the typical boss of a big public company makes in one. The median pay for U.S. workers was about $39,300 last year. That was up 1 percent from the year before, not enough to keep pace with inflation.

Since the AP began tracking CEO pay five years ago, the numbers have seesawed. Pay climbed in 2007, fell during the recession in 2008 and 2009 and then jumped again in 2010.

To determine 2011 pay packages, the AP used Equilar data to look at the 322 companies in the S&P 500 that had filed statements with federal regulators through April 30. To make comparisons fair, the sample includes only CEOs in place for at least two years.

Among the AP's other findings:

? David Simon, CEO of Simon Property, which operates malls around the country, is on track to be the highest-paid in the AP survey, at $137 million. That was almost entirely in stock awards that could eventually be worth $132 million, some of which won't be redeemable until 2019. The company said it wanted to make sure Simon wasn't lured to another company. He has been CEO since 1995; his father and uncle are Simon Property's co-founders.

This month, Simon Property's shareholders rejected Simon's pay package by a large margin: 73 percent of the votes cast for or against were against.

But the company doesn't appear likely to change the 2011 package. After the shareholder vote, it released a statement saying that "we value our stockholders' input" and would "take their views into consideration as (the board) reviews compensation plans for our management team." But it also said that Simon's performance had been stellar and it needed to pay him enough to keep him in the job.

Simon's paycheck looks paltry compared with that of Apple CEO Tim Cook, whose pay package was valued at $378 million when he became CEO in August. That was almost entirely in stock awards, some of which won't be redeemable until 2021, so the value could change dramatically. Cook wasn't included in the AP study because he is new to the job.

? Of the five highest-paid CEOs, three were also in the top five the year before. All three are in the TV business: Leslie Moonves of CBS ($68 million); David Zaslav of Discovery Communications, parent of Animal Planet, TLC and other channels ($52 million); and Philippe Dauman of Viacom, which owns MTV and other channels ($43 million).

? About two in three CEOs got raises. For 16 CEOs in the sample, pay more than doubled from a year earlier, including Bank of America's Brian Moynihan (from $1.3 million to $7.5 million), Marathon Oil's Clarence Cazalot Jr. (from $8.8 million to $29.9 million) and Motorola Mobility's Sanjay Jha (from $13 million to $47.2 million).

? CEOs running health-care companies made the most ($10.8 million). Those running utilities made the least ($7 million).

? Perks and other personal benefits, such as hired drivers or personal use of company airplanes, rose only slightly, and some companies cut back, saying they wanted to align their pay structure with "best practices."

Military contractor General Dynamics stopped paying for country club memberships for top executives, though it gave them payments equivalent to three years of club fees to ease "transition issues" caused by the change.

The typical pay of $9.6 million that Equilar calculated is the median value, or the midpoint, of the companies used in the AP analysis. In other words, half the CEOs made more and half less.

To value stock awards and stock options, the AP used numbers supplied by the companies. Those figures are based on formulas the companies use to estimate what the stock and options will eventually be worth when a CEO receives the stock or cashes in the options.

Stock awards are generally valued based on the stock's current price. Stock options are valued using company estimates that take into account the stock's current price, how long until the CEO can cash the options in, how the stock price is expected to move before then, and expected dividends. Estimates don't generally take inflation into account.

The shift to stock awards is at least partly rooted in what is known as the Dodd-Frank law, passed in the wake of the financial crisis, which overhauled how banks and other public companies are regulated.

Beginning last year, Dodd-Frank required public companies to let shareholders vote on whether they approve of the top executives' pay packages. The votes are advisory, so companies don't have to take back even a penny if shareholders give them the thumbs-down. But shame has proved a powerful motivator.

It got Hewlett-Packard to change its ways. After an embarrassing "no" vote last year on the 2010 pay packages, including nearly $24 million for ousted CEO Mark Hurd, the company huddled with more than 200 investment firms and major shareholders, then threw out its old pay formula. New CEO Meg Whitman is getting $1 a year in salary and no guaranteed bonus for 2011. Nearly all her pay is in stock options that could be worth $16 million, but only if the share price goes up.

Other companies took notice, too. Last year, shareholders rejected the CEO pay packages at Janus Capital, homebuilder Beazer Homes and construction company Jacobs Engineering Group. All won approval this year after the companies made the packages more palatable to shareholders.

To be sure, shareholders aren't voting en masse against executive pay. Instead, they seem to be saving "no" votes for the executives they deem most egregious.

Of more than 3,000 U.S. companies that held votes in 2011, only 43 got rejections, according to ISS. But the mere presence of the "say on pay" vote is triggering change, shareholder activists say.

"Companies that have gone through that trial by fire don't want to go through it again," says McGurn, the ISS special counsel.

Even Chesapeake Energy, a company perennially in the cross-hairs of corporate-governance activists, is bowing to pressure. The company has drawn fire for showering CEO Aubrey McClendon with assorted goodies. In addition to handing him big pay packages ? $17.9 million for 2011 ? Chesapeake in recent years has spent millions sponsoring the NBA's Oklahoma City Thunder, which he partially owns, paying him for his collection of antique maps and letting him buy stakes in company wells.

Last year, shareholders of the natural gas producer passed the proposed 2010 pay package but by a low margin, 58 percent. This year, with shareholder pressure mounting, the board has ended some of McClendon's perks and stripped him of his title as chairman. A lawsuit settlement is forcing him to buy back his $12 million worth of maps.

After losing the chairman job, McClendon issued a statement saying the demotion "reflects our determination to uphold strong corporate governance standards." Chesapeake will seek shareholder approval for McClendon's 2011 pay at its annual meeting in June.

So far, Citigroup is the highest-profile company to have its pay package rejected this year. The bank planned to pay CEO Vikram Pandit about $15 million for his work last year, noting that he had returned the company to profitability in 2010 and worked for $1 that year. Shareholders, who watched the stock price plunge 44 percent in 2011 (after adjusting for a reverse stock split) weren't so forgiving.

It's usually around January that boards decide how much to pay a CEO for the previous year. Then they inform shareholders and ask for their vote in the spring ? usually after the cash portion has already been handed out. For Pandit, that meant he had already received $7 million in salary and cash bonus by the time shareholders voted against his pay.

In a statement, Citi said it took the vote seriously and planned to "carefully consider" the input of major shareholders. It hasn't given more specifics. Richard Parsons, who retired as Citi's chairman after the April annual meeting, as previously planned, said after the vote that the board should have done a better job explaining to shareholders how it determined CEO pay.

Another big change is that more companies are giving themselves the right to take back a top executive's pay from previous years if they determine that the executive acted inappropriately to inflate the company's financial results.

The Dodd-Frank overhaul will eventually require public companies to include such broad "claw back" provisions, which will expand on narrowly written rules from a decade ago. But companies aren't waiting. In a separate study, Equilar found that 84 percent of Fortune 100 companies now include claw backs in their executive pay packages, up from 18 percent in 2006.

Last year, the former CEO of Beazer Homes agreed with regulators, who cited the older claw back rules, to turn over $6.5 million he had earned when profits were inflated. In February, UBS took back half of the previous year's bonuses awarded to many investment bankers because of subsequent losses in the unit.

Picking the right mix of incentives is partly just guesswork, and sometimes the results are simply a force of serendipity. Stocks can get swept up in rising or falling markets, so the fortunes of CEOs with well-designed pay packages can reflect luck ? good or bad ? not just managerial skills.

In February 2009, James Rohr, the head of PNC Financial Services, was granted options that allowed him to buy shares in the future at the then-current price, which had fallen 62 percent in five months on its way to a 17-year low the next month.

The stock has since doubled, and the options, mostly based on hitting certain profit and cost-cutting goals, are worth more than $20 million in paper profit, according to research by GMI Rating, a corporate governance watchdog. If investors had bought PNC stock just before the financial crisis in 2008, they would still be down more than a fifth.

Luck, of course, can cut both ways. Rohr is still waiting to cash in options granted in 2007, valued then at $2.5 million, when the stock was 18 percent higher than it is today.

Some shareholder groups doubt that ever-higher CEO pay, ingrained as it is in the corporate psyche, will ever be refashioned dramatically enough to satisfy shareholders and consumer groups who see the paychecks as too big, too disconnected from performance, and set by wealthy directors who are oblivious to the way that most of their shareholders live.

"I hope we have seen the last of this," says Rosanna Weaver of the CtW Investment Group, which works on shareholder issues with union-sponsored pension funds and has lobbied against CEO pay packages at a number of companies. "But I would be very surprised, just given what I know of human nature, let alone what I know of the financial markets."

Still, she's encouraged by the change that has already been stirred.

"It's a very big task," Weaver says. "I still believe it is worth trying."
